The Ministry correctly confirms the legitimacy of the denial of registration in relation to the non-compliance of the entity in question with the discipline established by the legislation on social enterprise. The Note specifies: \u201cThe art. 1 paragraph 5 of Legislative Decree lgs. 112\/2017 establishes that the rules of the Third Sector Code referred to in Legislative Decree apply to social enterprises. lgs. 117\/2017 and, failing that and for the unregulated aspects, the provisions of the civil code and the related implementing provisions concerning the legal form in which the social enterprise is established, within the limits of compatibility with the provisions of Legislative Decree lgs. 112\/2017: therefore, the discipline established by the aforementioned legislative decree must be understood as a special law for social enterprises, with the consequence that the provisions of the Third Sector Code and the civil law provisions relating to the individual types of reference will be applicable, according to the hierarchy established by the same decree, only for the aspects not fully defined by the decree on the social enterprise, provided that they are compatible.<br \/>\nThe art. 5 of Legislative Decree lgs. no. 112\/2017, in terms of constitution, fully establishes that the social enterprise is established with a public deed, without provisions of exceptions or admissibility of implicit or explicit derogations from the requirement of the solemnity of the deed towards entities which, pursuant to the Code of Third sector or the civil code could also be established without it. The aforementioned article 5 must be read in conjunction with article 1350 of the civil code. which expressly provides that the documents specifically indicated by law must be drawn up by public deed under penalty of nullity. In addition to recourse to the public deed, the same article identifies further contents that must necessarily be made explicit in the deed of incorporation and in particular the corporate purpose, the absence of profit and the corporate nature of the company pursuant to the further provisions referred to in the article. Consequently, what was expressed by the Chamber of Commerce in the reasons for the rejection measure, as reported in the question, must be considered acceptable, also taking into account the provisions of art. 4 of the interministerial decree of 16 March 2018, containing the definition of the deeds to be filed with the company register office by the social enterprise and the related procedures\".<\/p>\n<\/div><div style=\"text-align:center;\"><a class=\"fusion-button button-flat fusion-button-default-size button-default fusion-button-default button-1 fusion-button-default-span fusion-button-default-type\" target=\"_blank\" rel=\"noopener noreferrer\" href=\"https:\/\/gslex.net\/wp-content\/uploads\/2022\/12\/Nota-11734-del-04112020-Parere-diniego-iscrizione-sezione-speciale-registro.pdf\"><span class=\"fusion-button-text awb-button__text awb-button__text--default\">Download PDF<\/span><\/a><\/div><\/div><\/div><\/div><\/div>","protected":false},"excerpt":{"rendered":"","protected":false},"author":8,"featured_media":3956,"comment_status":"open","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"inline_featured_image":false,"footnotes":""},"categories":[1,77],"tags":[],"class_list":["post-2272","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-articoli","category-terzo-settore"],"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v26.0 -
